General
1. If a non-profit organization wishes to become incorporated
under the laws of Ontario, the following procedures apply:
a) an application for “Incorporation for a Corporation
Without Share Capital” on the appropriate form is made to the Minister of
Consumer and Commercial Relations. This includes:
i) the names of all the executives
and directors who are applying on behalf of het organization for a charter
to be issued by Letters Patent.
ii) the objectives of the organization;
iii) the Head Office of the organization.

The Ministry issues a charter with an Ontario Corporation number. Among
the conditions is one that states that the “Corporation shall be carried on
without the purpose of gain for its members, and any profits other than accretions
to the Corporation shall be used for promoting its objectives.”

3. Ontario Form 07200 which lists all current executives and directors
of the ortganization must be filed with the Ministry:
a) within 60 days of the date of incorporation;
b) as a Notice of Change to be filed within 10 days after
a change or changes has taken place in the information previously filed.
4.
If an organization wished to move its “Head Office”, a special resolution
and initial notice of change must be filed with the Ministry of Consumer and
Commercial Relations. The resolution is published in the Ontario
Gazette and subsequently consented to by the Directors and two-thirds (2/3)
of the membership.
